Davis Polk advised CVS Caremark Corporation in connection with its cash tender offers for any and all of its 6.60% Senior Notes due 2019 and up to a maximum amount of its 6.125% Senior Notes due 2016 and 5.750% Senior Notes due 2017. The aggregate principal amount of the notes accepted for purchase was approximately $1.325 billion. Barclays Capital Inc. and U.S. Bancorp Investments, Inc. were the dealer managers for the tender offers.
